Position Description
The Project Manager-Contract Compliance assists end-users in drafting and reviewing contracts. They also specialize in providing a resolution between parties in minor disputes. They need to be competent analytical thinkers, able to read and interpret complex language, and then communicate the terms involved to all applicable parties. Written and verbal communication skills, as well as knowledge of federal and state contract laws and regulations, are essential.
Major/Essential Functions
- Develop analytical summaries, reports, and recommendations on processes for use in making decisions regarding the award, execution, or termination of contracts. Provide legal support services for the full contract life cycle from drafting to contract close-out. Develop resources for the department, including templates, to automate and expedite the contract execution process. Oversee the negotiation of contract renewals, amendments, and plans in conjunction with the Strategic Acquisition team and the requesting end-users.
- Responsible for adherence to contract regulations and policies (federal, State, local, and institutional). Interpret policies, rules, and regulations; provide guidance to staff and the community regarding contract administration; Provide consulting expertise by developing and interpreting contractual provisions and providing advice on all facets of contract issues. Coordinate services with the TTU System Office of General Counsel, TTU System Office of Risk Management, TTU Payroll and Tax Services, and TTU Senior Vice President and Chief Financial Officer. Shall maintain a productive and cooperative relationship with the TTU and TTU System functional offices.
- Mediate and resolve minor contract issues/concerns. Use professional and effective tactics to minimize risk to the institution and negotiate the best value contracts. Resolve non-compliance issues by investigating and resolving contract-related discrepancies, complaints, and disputes between parties; canceling and/or terminating contracts; and negotiating settlement agreements and other claims.
- Conduct training for internal staff and TTU departments on various regulatory requirements. Must be trained, knowledgeable, and maintain oversight of contract compliance requirements including, but not limited to, Uniform Guidance requirements, export controls, customs, Environmental Health and Safety requirements, federal equipment rules, federal cost accounting standards, and State of Texas requirements. Works with other Administration & Finance departments to drive efficiencies while maintaining the appropriate compliance requirements. May support other initiatives. May be delegated other duties as required.
- Develop and maintain the contract compliance process. Serve as the principal legal and business liaison between the institution, TTU leadership, the TTU requesting department, contractors, and other stakeholders.
- Exercise sound judgment in making critical decisions, analyze complex information, and develop plans to address identified issues and effectively demonstrate negotiation and facilitation skills.
- In coordination with campus contacts, develop and maintain working relationships with internal customers to identify and address needs continually. Routinely consult with end-users to discuss, evaluate, and plan for current and future needs. Works with Procurement leadership to improve communication channels.
- Contributes to an overall positive Procurement Services customer service experience, including staff, system operations, issue resolution, help desk, training, departmental and vendor resources, and new process/product implementations.
- Maintains legal qualifications and participates in required annual CPE/CEU requirements.
Required Qualifications
Bachelor's degree plus three years related experience; OR a combination of education and/or related experience to equal seven years.
Preferred Qualifications
- Juris Doctorate (JD) degree (strong emphasis). Ability to qualify for admission to practice before the Texas Bar if not presently admitted.
- Contract Compliance, Business/Contract Law, Comprehension of clauses common to SaaS Agreements, must be able to draft contract redlines based on individual end-user requests and risk tolerance, 2 years reviewing, redlining, and managing commercial contracts.
